There are now over 17 million privately held businesses in the United States.  About 20% of these businesses are for sale at any one time for various reasons such as retirement, poor health, and divorce. As a CDO/M&A Consultant, you would be in the fortunate position of helping these business owners list and sell their businesses for a fee.  With our training program, our CDO/M&A Consultants become quite experienced and comfortable with the entire process of buying and selling a business. This experience is valuable to an owner seeking to sell their business, especially in addressing their concerns about price, negotiations and confidentiality.

Currently, the state of the market is incredibly advantageous for our company because there are very few M&A Consulting firms with former CEO’s, Presidents and business owners who provide the M&A services. With the tremendous number of businesses for sale throughout the country now, and large businesses downsizing, thousands of potential small business buyers are flooding the market. With a historically high failure rate of new business start-ups, people realize that purchasing an existing business is a safer way of securing their future.

DUTIES AND RESPONSIBILITIES:

LEADERSHIP:  Provide corporate governance services as requested by the Board of Directors.  Serve on the Company Executive Committee.  Change Management of rapid growth of Company.  Backup to CEO in his/her absence.  Develop and manage the capital formation / equity base and manage shareholder relations.  Author private placement memorandum’s (PPM) and manage investor rounds as required by the strategic plan.


GENERAL
: Work with Finance team to ensure above-board revenue recognition per GAAP guidelines.  Ensure Mentor business unit managers to achieve business goals while ensuring consistent, high quality and timely distribution of the Company’s products and services.  Conduct, in accordance with the Company policy, reviews of team member performance.  Provide for the performance and growth of subordinates.  Perform other duties as may be assigned that are appropriate to his/her expertise and areas of responsibility. Establish and monitor staff performance objectives with reference to results, quality, cost effectiveness, and time schedules.  Conducts, in accordance with the Employee Handbook, reviews of team member performance.  Provide for the performance and growth of subordinates.  Develop a “balanced scorecard” for the areas of business development, sales, profitability and marketing.  Coordinate with other staff to foster a team effort towards the attainment of corporate goals.  

STRATEGY
:  Create and maintain the Company business/strategic plan.  Update the plan quarterly and present to Executive Committee for review and approval.  Once approved, develop strategies, tactics, plans, budgets, goals and objectives against that plan.  Under the direction of the CEO, perform assigned duties against plan. Report any observed deviation from plan to the CEO.  Communicate strategic direction, metrics and monthly status to Company.

CORPORATE DEVELOPMENT
:  Provide guidance and direction with the Company’s business development, merger and acquisition activities.  Report on competition, develop financial and operational models, meet with potential partners and make recommendation on feasibility of Company entrance into those markets.  If new market entrance is approved by the CEO, develop strategies, tactics, business objectives for market entry.  Negotiate any contracts or other agreements necessary for market entry.  Strategic assessment, planning and execution.  Facilitate visioneering meetings.  Business plan review, development and execution.  Partner identification, business relations, and internal execution.  Market analysis and corporate valuation.  Corporate profiling.  Sell-Side or Buy-Side Market Assessment.  Author and manage the corporate " Book“.  Manage the Due Diligence Process.  Negotiate the Definitive Agreement and Manage the Closing process.  

SALES
:  Ensure that forecasted sales bookings and profitability goals are accomplished.  Develop and assemble Company’s annual sales forecasts, expense budgets, cash flow expectations, marketing and product delivery plans to meet Company objectives as outlined in the strategic business plan.  Negotiate all contracts for products and services with Company clients, suppliers, business and liquidity partners.  As an Officer of the firm, sign new contracts.  Review of sales process and recommendations.  Develop sales team flexible pricing options such as operational and capital leasing for software and services, bridge payments, Pre-Pay, event driven, etc…

MARKETING
:
  Create leads.  Conduct research for new market possibilities for the Company.  Direct development and enhancement priorities for all products and services.  Ensure maximum sales at minimum cost/lead.  Leads the establishment of the pricing models and policies for the products and services of Company.  Strive to improve the competitive position of the Company while ensuring effective client relations.  Coordinate activities with system vendors and other business partners.  Interact with prospective clients, client organizations, system vendors, software distributors, and professional and trade organizations in performing the duties of the position.  Shows and corporate events. 

     
QUALIFICATIONS:

Skills:   Must have an in-depth knowledge of Company product line(s), a keen awareness of client needs and a high level of expertise within the information systems industry.  Excellent management, analytical and organization skills, ability to communicate, and a proven understanding and successful track record in management related to the information systems industry. 

Education;
A Bachelors Degree with emphasis in business, marketing and/or sciences.  An MBA degree is highly desirable.

Experience:
Experience in sales, engineering, service and operations is required.  Over twenty years of increasing responsibility and success in each area over that period of time.  A proven performance record in the development and management of subordinates is required.
